Terms of Service

To use Neroo, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract in your jurisdiction
• Not be prohibited from using the service under applicable laws
• Have a valid Telegram or WhatsApp account for bot interactions

Neroo is currently available to users in Nigeria, Ghana, Kenya, and South Africa. We reserve the right to restrict access from other jurisdictions at our discretion.

Neroo provides the following services:

• For community owners: A bot-driven setup flow to create paid Telegram and WhatsApp groups, a shareable payment page, member access control via single-use invite links, automatic payout processing, and a dashboard for analytics and payout history.
• For members: A secure payment page to pay for access to a community group and receive an invite link upon successful payment.

We are a platform provider, not a party to transactions between owners and their members. We do not guarantee the quality, legality, or suitability of any community or its content.

As a community owner using Neroo, you agree to:

• Provide accurate information when setting up your group and completing KYC verification
• Deliver the community value you have promised to your paying members
• Set pricing and group descriptions that are honest and not misleading
• Not use Neroo to collect payments for goods or services that are illegal, fraudulent, or prohibited under our Acceptable Use Policy
• Comply with applicable consumer protection laws in your jurisdiction
• Not issue unauthorised refunds through mechanisms outside of Neroo all refund requests must be processed through our support channel
• Complete identity verification (KYC) when prompted, based on your monthly revenue tier
• Maintain compliance with Telegram's and WhatsApp's own terms of service within your groups

As a member paying to join a community, you agree to:

• Only use the single-use invite link generated for your payment sharing it with others is a breach of these terms
• Not attempt to circumvent the payment requirement or access groups without a valid payment
• Understand that Neroo facilitates payment and access only; the community itself is managed by the owner, not by Neroo
• Raise payment disputes or refund requests with Neroo support, not by filing chargebacks without first contacting us

• Payouts are processed automatically to the owner's registered Paystack account following payment confirmation
• Payout timelines are subject to Paystack's settlement periods (typically 24–48 hours on business days)
• Neroo reserves the right to withhold payouts where fraud, chargebacks, or policy violations are suspected, pending investigation
• Owners are solely responsible for taxes on income received through Neroo
• We reserve the right to adjust our fee structure with 30 days' notice to active owners

Because invite links are single-use and grant immediate access, all sales are generally non-refundable once an invite link has been delivered. Exceptions include:

• Technical failure where a valid invite link was not delivered after confirmed payment
• Fraudulent charges confirmed by our payment processor
• Duplicate charges for the same group within a short period

To request a refund, contact [email protected] within 48 hours of payment. Refunds, where approved, are processed back to the original payment method. Chargeback disputes filed without first contacting Neroo support may result in account suspension.

You may not use Neroo to operate communities that:

• Promote or facilitate illegal activity, including money laundering, drug sales, or human trafficking
• Distribute adult or sexually explicit content without appropriate legal authorisation
• Operate as investment schemes, Ponzi schemes, or unlicensed financial advice services
• Harass, threaten, or discriminate against individuals on the basis of race, gender, religion, or other protected characteristics
• Infringe on intellectual property rights of third parties
• Collect payments for products or services you do not intend to deliver
• Impersonate other individuals, organisations, or Neroo itself

Violation of this policy may result in immediate account suspension, withholding of pending payouts pending investigation, and reporting to relevant authorities.

To comply with Nigerian Central Bank regulations and equivalent requirements in other markets, we require identity verification at the following revenue thresholds:

• Under ₦50,000/month: No verification required
• ₦50,000 – ₦500,000/month: NIN or equivalent national ID
• Above ₦500,000/month: NIN + BVN (Nigeria) or equivalent

Failure to complete required KYC verification within 14 days of being prompted will result in payout suspension until verification is completed. Your ability to collect payments will not be affected during this period.

We may suspend or terminate your access to Neroo if:

• You violate any provision of these Terms of Service
• We receive credible reports of fraud or abuse associated with your account
• You fail to complete required KYC verification
• We are required to do so by law or court order
• Your Paystack account is suspended or closed

In cases of suspected fraud, we may suspend payouts immediately while the investigation is ongoing. You may close your account at any time by contacting support. Pending payouts at the time of closure will be settled within 30 business days after clearing any outstanding disputes.

To the fullest extent permitted by Nigerian law and applicable law in your jurisdiction, Neroo and its officers, employees, and affiliates shall not be liable for:

• Indirect, incidental, special, or consequential damages arising from your use of the platform
• Loss of profits, revenue, or data resulting from service interruptions
• Actions or omissions of community owners or members
• Failures or delays caused by third-party services (Paystack, Dojah, Telegram, WhatsApp)
• Unauthorised access to your account resulting from your failure to secure your magic link

Our total liability to you for any claim arising out of your use of Neroo shall not exceed the amount of platform fees paid by you in the 3 months preceding the claim.
